TERMS AND CONDITIONS

1. CONTRACTUAL RELATIONSHIP

These Terms of Use (“Terms”) govern your access to or use, as an individual and/or company, from any country in the world of applications, websites, content, products and services (“Services”) made available by SOCIALNEED, SOCIALNEED INC, SOCIALNEED ®, needyou, a limited liability company incorporated in the United States (“Socialneed”) and Socialneed (registered trademark).

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

By accessing and using the Services you agree to be legally bound by these Terms, which establish a contractual relationship between you and Socialneed. If you do not agree to these Terms, you may not access or use the Services. By accessing, subscribing to and/or using Socialneed services (iOS mobile apps, Android mobile apps, WEB platform), you agree to our terms and policies immediately. IF YOU DO NOT AGREE TO THIS POLICY, DO NOT ACCESS OR USE THE PLATFORM.

These Terms expressly supersede any prior agreements or understandings with you. Socialneed may immediately terminate these Terms or any of the Services with respect to you or generally stop offering or deny access to the Services or any part thereof, at any time and for any reason.

Supplemental terms may apply to certain Services, such as policies for a particular event, activity or promotion, and such supplemental terms will be communicated to you in connection with the applicable Services. Supplemental terms are set forth in addition to, and will be deemed a part of, the Terms for the purposes of the applicable Services. Supplemental terms will prevail over the Terms in the event of a conflict with respect to the applicable Services.

Socialneed may modify the Terms relating to the Services from time to time. Modifications will be effective upon Socialneed's posting of such updated Terms at this location or modified policies or supplemental terms on the applicable Service. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms and their modifications.

Socialneed is not responsible for the services provided by third parties within the platform (people/users providing professional services or social solutions), nor is it responsible for the services and behavior of the platform's users. Socialneed and its platform provide the service of connecting people qualified by other users. Socialneed makes a great effort and process of validation and personal verification of professionals, technicians, amateurs, artists, sports coaches and specialists from different professional fields whose purpose in being present and/or active on the platform is to provide or require services within the legal framework in different areas based on urban social needs and/or in human communities. The validation and verification protocol for users prior to approval of use and access does not make Socialneed, its partners or legal representatives responsible for accidents or non-compliance with services and/or laws by users. Each user is responsible for accepting or denying services or third party requirements.

Modifications.

Socialneed reserves the right, at its sole discretion, to modify these Terms, and any other documents incorporated herein by reference, at any time and without prior notice. Socialneed will notify you of changes by posting on the website, emails and/or by notification in the platform's mobile applications when you enter and/or have logged into your account. Modifications will take effect one day after they are posted on this website. Users will be notified of the modifications at the time they are made. Use of the Platform after expiration will constitute your approval and consent to the changes. If you do not agree, you may not access the services or use the Platform.

2. THE SERVICES

The Services constitute a technology platform that enables users through Socialneed mobile applications or web pages provided as part of the Services (each, an “Application”) to find, connect, schedule and organize services from persons (“Third Party Providers”) who are qualified by other users; and that such services and the contracting thereof are between private individuals who require one or more services with private individuals who provide one or more services. Unless otherwise agreed to by Socialneed in a separate written agreement with you, the Services are made available for your personal, non-commercial use only. YOU ACKNOWLEDGE THAT SOCIALNEED DOES NOT PROVIDE SERVICES OF ANY KIND OR FUNCTION AS A PROVIDER OF PROFESSIONAL, TECHNICAL OR SPECIALTY SERVICES AND THAT ANY SERVICES OBTAINED, REQUIRED OR PROVIDED ARE PERFORMED BY INDEPENDENT THIRD PARTY PROVIDERS WHO ARE NOT EMPLOYED BY SOCIALNEED OR NEEDYOU APP.

License.

Subject to your compliance with these Terms, Socialneed grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, non-commercial use. Socialneed and its licensors reserve any rights not expressly granted herein.

Restrictions.

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based on, distribute, license, lease, resell, transfer, publicly display, publicly perform, transmit, retransmit or otherwise exploit the Services except as expressly permitted by SOCIALNEED LLC, SOCIALNEED INC, SOCIALNEED; (iii) decompile, reverse engineer or disassemble the Services except as permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any program or script for the purpose of scraping, indexing, analyzing or otherwise data mining any portion of the Services or unduly burdening or impairing the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or damage any aspect of the Services or their related systems or networks.

Our collection and use of personal information in connection with the Services is as set out in Socialneed's Privacy Policy, available at https://www.socialneed.co/privacy-policy. Socialneed may provide the competent authorities, insurers and the parties involved if necessary with any necessary information (including your contact information) if there are complaints, disputes, accidents or conflicts, which could include any type of inconvenience in which we believe it is necessary to intervene.

By being verified and activated in our services as a user on Socialneed, you agree and authorize us in the event of any legal scenario, if required by local authorities or by an insurer, any necessary information (including your contact information) if there are complaints, disputes or conflicts, which could include an accident, involving you and a third party (including the private provider of private transportation services or professional services between users) and such information or data is necessary to resolve the complaint, dispute or conflict, we may use it.

This Policy applies to all Socialneed sites, mobile applications, and other online services (collectively, "Platform") made available by Socialneed.

These Terms apply to all use of any Needyou App / needyou / Socialneed / Socialneed / Socialneed™ Platform services ("Socialneed", "we", "our" or "us"). Our Terms of Use links to the Privacy Policy. By accessing or using the Platform, you agree to our terms and policy. IF YOU DO NOT AGREE TO THIS POLICY, PLEASE DO NOT ACCESS OR USE THE PLATFORM.

IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE ARBITRATION AND CLASS ACTION WAIVER SECTION BELOW. PLEASE READ CAREFULLY.

PLEASE READ THE TERMS CAREFULLY. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. AS DETAILED IN THE ELIGIBILITY, SERVICE MEMBER REPRESENTATIONS, WARRANTIES AND USE OF THE PLATFORM SECTION BELOW, IF YOU ARE A USER, MEMBER AND/OR SUBSCRIBER OF THE SERVICE, YOU UNDERSTAND AND AGREE THAT SOCIALNEED USES YOUR INFORMATION TO OBTAIN BACKGROUND CHECKS ON ITS PROVIDERS AS EXPLAINED IN OUR PRIVACY POLICIES. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MAY NOT ACCESS OR USE THE PLATFORM, IF YOU ACCESS IT YOU ARE ACCEPTING OUR TERMS OF USE.

All references to "you" or "your", as applicable, mean the person accessing, using and/or participating in the Platform in any manner. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed to be an acceptance by that entity, and "you" and "your" herein shall refer to that entity.

ACCEPTANCE OF THESE TERMS

This Terms of Use Agreement ("Terms") governs your access to, use of, and participation in the Platform and Services made available to you by SOCIALNEED ("Socialneed", "Platform", "Application", "we", "us" or "our") or through Socialneed and all of our services. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed acceptance by that entity, and "you" and "your" herein shall refer to that entity, and you shall also be responsible to that entity as to your identity or person.

MODIFICATIONS

Socialneed reserves the right, in its sole discretion, to modify these Terms, and any other documents incorporated herein by reference, at any time and without prior notice. Socialneed will notify you of changes by posting on the website, emails, and by notification on the Platform's mobile application(s), sending you a message, or otherwise notifying you when you enter and/or are logged into your account. Modifications will become effective fifteen (15) days after they are posted on the Platform. Your use of the Platform after the expiration of the fifteen (15) days will constitute your consent to the changes and approval. If you do not agree, you may not access or use the Platform.

ADDITIONAL TERMS AND POLICIES

Please review Socialneed's Privacy Policy, incorporated herein by reference, for information and notices regarding Socialneed's collection and use of your information. The provision and delivery of text messages by Socialneed or our text messaging service providers is governed by our Terms and Conditions, which are expressly incorporated herein. Please review Socialneed's full set of key policies that govern your use of the Platform and our interactions with you and third parties. Certain areas and/or products on the Platform may have different terms and conditions posted or may require you to agree to and accept additional terms and conditions or policies. If there is a conflict between these Terms and any terms and conditions or policies posted for a specific area or product, these Terms and Conditions and Additional Policies take precedence with respect to your use of that area or product.

KEY TERMS

"Collective Content" means User Content and Socialneed Content together.

"Content" means text, graphics, images, music, software, audio, video, information or other materials, including, but not limited to, profile information, requests, quotes, message conversations, reviews, scheduling and calendar information, and other information or materials available on or through the Platform.

"Member User" means a Member or User who is registered to receive quotes, request quotes, or use the Platform to receive, pay for, review, or facilitate the receipt of Third Party Services.

"User" means a person who completes the Socialneed account registration process or a person who sends or receives a request through Socialneed.

"Platform" means all Socialneed websites, mobile or other applications, software, processes, and any other services provided by or through Socialneed.

"User Services" means the services listed, quoted, scheduled, offered or provided by Member Users, or requested, scheduled or received by each or all Users, through the Platform.

"Socialneed Content" means all Socialneed content that is made available on or through the Platform, including any Content licensed from a third party, but excluding User Content.

"User Content" means all Content submitted, posted, uploaded, published or transmitted on or through the Platform by any Member or other user of the Platform, including, but not limited to, photographs, profile information, descriptions, posts, reviews and payments made through the Platform, but excluding Socialneed Content and Comments.

4. ELIGIBILITY, USER REPRESENTATIONS, WARRANTIES, AND USE OF THE PLATFORM

Eligibility to Provide Services

Access to and use of the Platform is available only to individuals who are at least 18 years of age and capable of entering into legally binding contracts under applicable law. Only individuals who are citizens or lawful residents of the country where they provide services through needyou may register as service providers. In the United States, a valid Social Security Number (SSN) is required in order to receive payments on the Platform. Socialneed Inc., and any of its products including the needyou App, promote the local economy in each country and comply with applicable local laws.

User Representations and Warranties

By registering or using the Platform to offer services, you represent and warrant that:

You have the experience, qualifications, licenses, certifications, and insurance required under the laws and regulations of the jurisdiction where you operate.
You are solely responsible for the acts, services, processes, and results derived from your activity on the Platform.
You will maintain the information in your profile truthful, accurate, and up-to-date.

Nature of the Service

Socialneed Inc., and any of its products including the needyou App, do not provide professional services directly. Their role is limited to offering a technology platform that connects users and service providers. Use of the Platform does not guarantee that a service provider will be hired or that business opportunities will arise.

Relationship Between the Parties

Users acknowledge that they are independent parties, not employees, partners, joint venturers, or agents of Socialneed Inc., and any of its products including the needyou App. Each user sets their own prices, provides their own equipment, and determines their own schedule. Socialneed Inc., and any of its products including the needyou App, do not control, and have no right to control, the services provided by users (including how they perform such services), except as expressly provided in these Terms.

Account Registration

To access certain features, you must create a password-protected account. You agree to provide truthful, accurate, and complete information during registration and at all times while using the Platform, and to maintain the confidentiality of your login credentials. You are responsible for all activities conducted under your account and must notify Socialneed Inc., and any of its products including the needyou App, immediately of any unauthorized use.

Verification and Right of Admission

Socialneed Inc., and any of its products including the needyou App, may conduct identity, background, and compliance checks, which may include publicly available reports regarding criminal history or other relevant records. Socialneed Inc., and any of its products including the needyou App, reserve the right to limit, suspend, or terminate accounts based on the results of such checks or according to internal criteria for safety, compliance, or quality, without the obligation to disclose the specific details of such criteria.

Limitation of Liability in Disputes

Socialneed Inc., and any of its products including the needyou App, are not mediators of disputes between users. Any disagreement or conflict related to a service must be resolved directly between the parties involved. Socialneed Inc., and any of its products including the needyou App, may cooperate with competent authorities in the event of unlawful, fraudulent, or otherwise prohibited conduct, and may take legal action when appropriate.
